Entity & contact. These Terms of Use (“Terms”) govern your access to and use of nsatech.llc, handshake.nsatech.llc, and the Handshake™ payment experience at participating merchants (together, the “Services”). The Services are provided by NSA Technologies LLC, a Delaware limited liability company (“NSA Technologies,” “we,” “us,” “our”).

1) Definitions
- Handshake: our bearer-bound payment instrument and supporting infrastructure.
- True bearer: the individual verified at checkout to whom a payment is bound.
- Identity device: the device or instrument you use to initiate a handshake.
- Privacy-preserving templates: derived, irreversible mathematical representations used (with other signals) to verify the true bearer; not raw face images or raw voice recordings.
- VTM: our “Virtual Teller/Terminal” channels (kiosk, web, or voice) where you can manage consent or lock/unlock your identity device.
- Royalties: optional, authorship-based consumer rewards program.
- Tokenholder Program: program for holders of tokens used to manufacture payment devices.
2) Eligibility & Accounts
You must be legally capable of entering a contract. To enroll, you must complete identity verification with a passport or government-issued identity card (and any required liveness checks). You authorize validation with regulated verification providers and applicable watchlists (e.g., sanctions/PEP). If verification fails, expires, or is withdrawn, access to Handshake may be suspended.
2A) Point-of-Sale Consent (“Paying by Name”)
When you pay by name at a participating merchant (for example, you state your name or otherwise initiate the handshake at the counter), you instruct and expressly consent to NSA Technologies processing privacy-preserving templates and related identity/safety signals solely to verify that you are the true bearer and to authorize that transaction.
You may optionally enable remembered/ongoing consent for faster future checkouts and can withdraw it anytime via VTM, online portal, or support. If you decline consent at checkout, an alternative verification path may be required or the service may be unavailable at that merchant.
3) Handshake security model (bearer-bound)
Handshake is designed so that even if a token is fully compromised, it cannot be used to pay without the true bearer. Payments require a permissioned exchange using layered identity and safety signals plus merchant authorization.
- Lock/Unlock. If your device is lost or you suspect compromise, lock it immediately (VTM/portal/support). Locked devices cannot complete the handshake.
- Limits & flags. Merchants may set transaction limits and risk flags.
- Duress detection & precautionary lockouts. Our systems and participating merchants may use signals intended to detect indicators of duress. If duress is suspected, we may decline or hold the transaction, and we may temporarily lock the account or identity device as a precaution. Additional verification may be required to restore access.
- Physical coercion. Crimes involving coercion are outside our threat model; contact law enforcement. We cooperate consistent with law and our Privacy Policy.
- Service note. Safety features may cause false positives; you may experience a declined, delayed, or interrupted transaction. We will provide a prompt review and restoration path where appropriate.
4) Fees
Consumers: no fees to use Handshake.
Merchants: 1–2% of revenue (inclusive of pass-through costs), per merchant agreement.
5) Refunds, returns & disputes
Refunds are initiated by merchants. Begin disputes with the merchant; if unresolved, open a ticket with us. We may request information and will communicate outcomes and timelines.
6) Royalties (optional consumer rewards)
Opt-in program rewarding use of Handshake and, if you consent, privacy-preserving, aggregated insights derived from your transactions. Royalties are promised but may be fractional and insignificant and depend on a phase-two relevance engine. Form: credits or similar units (not cash, debt, equity, or securities). No secondary market is provided. You retain authorship of your personal data; by opting in, you grant us a non-exclusive license to process de-identified and/or aggregated derivatives for analytics and product development. You may revoke consent at any time (prospectively). Compliance checks and taxes may apply.
7) Tokenholder Program (manufacturing-backed tokens)
We may issue or support tokens used to manufacture payment processing devices. Tokenholders may receive a revenue share sourced from our 1–2% merchant commission. Distributions are variable, not guaranteed, and may be modified, paused, or terminated. This is informational and not an offer or solicitation of securities; participation may be restricted by law and jurisdiction. The Tokenholder Program is separate from Royalties and subject to additional terms and compliance review.
8) Acceptable use
Do not misuse the Services, defeat security, misrepresent identity, or transact illegally. We may suspend or terminate access for violations.
9) Intellectual property
The Services, software, and content are owned by NSA Technologies or its licensors. You receive a limited, revocable license to use the Services as permitted by these Terms.
10) Service changes & availability
We may add, remove, or modify features. We aim to give reasonable notice for material changes that affect consumers.
11) Disclaimers
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
12) Limitation of liability
To the extent allowed by law, NSA Technologies and its affiliates are not liable for indirect, incidental, special, consequential, or exemplary damages. Our aggregate liability to you for all claims arising out of or relating to the Services will not exceed USD $10,000.
13) Governing law & venue
These Terms are governed by the laws of the State of Delaware, USA. You agree to the exclusive jurisdiction and venue of the state or federal courts located in Delaware.
14) Changes to these Terms
We may update these Terms. The “Effective date” and “Last updated” dates indicate the version. Continued use after changes means you accept the updated Terms.
